Deal between the famous Hotel Leela Venture and Brookfield cancelled

Stomping down heavily on Hotel Leela Venture Ltd, market regulator Securities and Exchange Board of India (SEBI) has barred Leela Venture from selling its 4 high-profile hotels, comprising Hotel Leela Palace Udaipur and other assets to the Canadian investment fund Brookfield Asset Management.

The dramatic move came just after a day when India Tobacco Company (ITC) which holds around 8% of stake in the company, moved the National Company Law Tribunal (NCLT) in contrary to Hotel Leela Venture claiming “oppression and mismanagement”.

ITC also claimed that the deal between Leela Venture Ltd and the Canadian investment fund Brookfield was against the company’s and stockholders’ interests. SEBI has also received representations from ITC on the same matter and had mentioned this in its letter to Leela.

ITC’s plea was cited before the Mumbai bench of the NCLT, which postponed the matter for hearing on the coming Wednesday, Hotel Leela Venture had said in a regulatory filing on Tuesday.

“Representations and allegations against Hotel Leela Venture Ltd, as received by SEBI in relation to the issue, concerns the interest of the investors in the security market. While the representations are still being examined by SEBI, in scarcity of time involved and keeping the interest of investors in mind, they are advised to make sure that none of the transactions planned in the postal ballot notice dated 18 March 2019 are acted upon till further directions from SEBI,” states Hotel Leela Venture in the filing.

With the petition to Company Law Tribunal, ITC also filed two applications seeking a waiver of the requirement of the minimum threshold of 10% shareholding. ITC holds a 7.92% stake in Hotel Leela Venture. Earlier, the board of Hotel Leela Venture, while selling the hotel business, together with all assets and liabilities of the hotels located at Bangalore, Chennai, Delhi and Udaipur on a slump sale basis, split out Rs.150 crore each to the former promoters – Vivek and Dinesh Nair. Further, the sale to Brookfield also included 100% shareholding of the company in Leela Palaces and Resorts Ltd which owns the property and holds licenses for the development of a hotel in Agra.

All other management contracts currently in operation including the employees have been reassigned to Brookfield. The total payable amount to the company is of Rs.3,950 crore which is subject to adjustments on account of net working capital plus the applicable transaction cost. It is being said that the company will continue to operate the hotel in Mumbai, own a piece of land in Hyderabad and the joint development project of residential apartments in association with Prestige Developers in Bangalore.

Canadian corporation Brookfield still reserves the right of refusal over the company’s hotel in Mumbai, as a part of the business transaction.

Lala Mishthan Bhandar was started by ‘Lala Narayan Ji’ somewhere 150 years ago. Apparently, the shop has been named after him. Located near the Ghanta Ghar police station, this shop is ever crowded by people who come here to relish the authentic taste of seasonal desserts and sweets and undoubtedly the sweets are mouthwatering.

We had a very interesting conversation with Mr. Hemendra Sahu who told us about the shop. He said that Lala Ji was his grandfather. He lived for an astonishing 103 years. It is getting operated from several years ago and quite evidently it has seen the golden era of kings and queens in Udaipur. Today, this sweet shop is witnessing its fourth generation.

Rot (रोट) is a thick chapati made up of rough wheat flour. It is fried in ‘Ghee’ and topped up with Jaggery (Gur) and hot ‘Ghee’.

This Rot is prepared every Tuesday as an offering to Lord Hanuman. People from all around the city come and buy it to offer at Lord Hanuman’s temple situated at different places in the town. It is later shared among the devotees in the form of ‘Prasad’. One cannot find this special ‘Rot’ at any other shop except ‘Lala Mishthan Bhandar’.

Not only this, they make prasad for various occasions too, like ‘Panjeeri’ is made as an offering to the Lord.

Things That You Should Not Do In Udaipur

Udaipur is a city of dreams. People from all around the world have bucket listed Udaipur on a priority and there’s no reason why they shouldn’t. After all, it is one such city which is pretty appealing in every field whether it be history, culture, food, palaces, you name it and it shines already. Oh, and did I tell you it has several other names too such as city of lakes, Kashmir or Rajasthan, Venice of the east, etc.? With all these things, one thing is for sure that when one visits the beautiful city of lakes, he will not only be awestruck by the beauty of the city but on the other hand he will be completely smitten and would want to stay here forever.

It is true that the city is not too large in area but, trust me, it is enough. It is not a drop in the ocean, it is an ocean in a single drop. You won’t have to travel for hours to go from one spot to other, unlike metros where you just spend your whole day and get to visit only 1-2 places. Udaipur is very rich in terms of its history and culture. It is not, in any way, less than any other city when it comes to royal palatial properties and forts. Which is why it is also called the royal city. There are several palaces and forts which are directly connected to the history of its rulers who used to rule Mewar back then (Udaipur and some more cities combined was called Mewar back then). Forts like Sajjangarh Fort, Kumbhalgarh Fort, and palaces such as City Palace, Lake Palace, etc. are the monuments which are standing intact from those times in the city.

The first thing that comes up in our minds whenever we think about the time back when we were in our school and college is the time when we bunked our classes. Just a mere thought about it takes us to those times with our now long lost friends. The fun we had, the places we visited, the friends we had, everything. And sometimes when we were not lucky enough, we even got caught. At the time being it was a horrible thing but now that we think about it again it just brings a smile to our face.

While all of us always say that Udaipur is very small, the city has never stopped amazing us with the number of places that it has. Most of us were smart enough to invent new places for bunking every time, but there were some places which were more of a ‘bunking adda’ to us. Let us go to those good times and read about all these bunking addas of ours.

 

Rani Road

This is the one place that is the first option that always used to pop up in our heads whenever we thought about any bunks. Rani road is such a place that has kept so many secrets in itself and one of the secrets are our bunks. The long pal of Rani Road, the never-ending gossips and the unconditional love that we had for the lake, these three things were the main reason why we are always up for the place. Now that it has developed a lot, you could see a lot of people at any point of time in the day.

 

Badi Lake

Our city is blessed with Lakes and hence we have a lot of places that roam around Lakes itself. Here, I am not discriminating but I think a lot of boys could connect to this one. Badi Lake has been the most famous place for boys bunking their classes here. Even now you can see a lot of young kids having a leisurely time of their life. Be it after school or when they are on bunks. There is one more point of attraction at Badi Lake that has become very famous with people lately. It is the Badi Hill. I don’t know about bunking but people definitely enjoy the trek to reach the hill. It’s not that the hill has got anything special but the view that it has is breathtaking.

 

Gulab Bagh

The place literally takes me to my school days. Just standing at the huge gate used to excite me. Gulab Bagh is a huge garden where you can just get lost in nature and when we are on a bunk, that’s exactly what we need, isn’t it? The place consists of a lot of activities that you do here. It has a zoo, a toy train that makes you explore the entire place (the garden is that large), a library, a bunch of temples and a shrine, badminton court, swings and slides and vast gardens where you can chat endlessly with your friends.

 

Fatehsagar

The best of bests right? Fatehsagar has a beautiful Lake but that’s not just it. Apart from that, there are quite more places which were the favorite spots of the bunkers. The main pal and the one in front of the Bombay market are the main attraction and apart from that, there is a Swami Vivekananda park, temples, Guru Gobind Park which has become the secret spots for all the youngsters.

 

Ubeshwar Ji

This is the one place that takes a long ride to go there. A lot of children can be seen on the way of Ubeshwar Ji on their bikes and scooters with a group of their friends. If you see Ubeshwar Ji there is nothing much as a place there. There is just a temple and a short waterfall. But the mere way of the place is adventurous enough. Beautiful landscapes, bright colors and fresh air adds up a light mood in every one of us.

 

Peepliya Ji

While we are talking about Ubeshwar Ji, there is another place, Peepliya Ji which is just some 8 Km ahead of it. Being a bit uncommon there are not many people there at any time of the day. So it is considered as an ideal place to enjoy some quality time with friends. Apart from that, it has a majestic view of the village near it and in whatever season it will give you one amazing sight to appreciate.

 

Sajjangarh

No matter how many times we go to this place, we cannot ever get bored of going here. This one place has been the weekend plan for the bunkers. Sajjangarh is a complete package of adventure, to sum up your perfect day. It will take a good ride for you to reach the fort meanwhile which you can enjoy the fresh air and increasingly beautiful sight of the city. Once you reach the top of the fort, I bet you feel like there’s no better place than this.
